These terms are an agreement between Refraime ("we", "us") and you or the business you represent ("you"). By using refraime.io or purchasing our services, you agree to these terms. If you do not agree, do not use the services.

Refraime provides website design and hosting, AI call answering, appointment booking, lead follow up by text and email, review requests, dashboards, and related marketing services, as described in your plan. We may improve or change features over time, and we will not materially reduce what your plan includes without notice.

• Plans are billed monthly, plus any setup fee shown at purchase.
• Plans run for a 6 month minimum, then continue month to month until cancelled. After the minimum term you may cancel anytime with notice before your next billing date.
• AI call time is billed by the minute as you use it, in addition to your monthly plan fee.
• Ad spend on plans that include managed advertising is billed separately from management fees and paid to the ad platforms.
• Fees are not refundable except where required by law or stated otherwise in writing.

• Provide accurate business information and keep it current; the AI answers with the details you give us.
• Use the services lawfully. You are responsible for having any consent required to contact your customers by phone, text, or email, including under telemarketing and messaging laws such as the TCPA.
• Only upload or direct us to contact lists you have the right to use.
• Where call recording requires consent in your jurisdiction, ensure appropriate notice is given to callers. We can configure disclosures as part of setup.
• Keep your account credentials secure and tell us promptly about any unauthorized use.

You keep ownership of your business content, customer data, phone numbers you port or forward, and domains registered in your name. We keep ownership of the Refraime platform, software, templates, and know how. You grant us the rights needed to host your content and operate the services for you. On request after cancellation, we will export your customer data in a standard format.

The services rely on providers such as telephony, messaging, scheduling, hosting, and advertising platforms. Their availability is outside our full control, and their terms may apply to your use of features they power. AI generated responses may occasionally be inaccurate; we tune your setup on an ongoing basis but do not guarantee any specific business outcome, call volume, or revenue result.

The services are provided as is and as available. To the fullest extent allowed by law, we disclaim implied warranties, and our total liability for any claim related to the services is limited to the amounts you paid us in the 3 months before the event giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost business opportunities.

You will defend and hold us harmless from claims arising out of your content, your customer communications conducted at your direction, or your breach of these terms, including claims that contact lists you provided lacked required consent.

You may cancel per the billing terms above. We may suspend or end the services for material breach, unlawful use, or non payment after notice and a reasonable chance to fix the issue. Sections on ownership, disclaimers, liability, and indemnification survive termination.

These terms are governed by the laws of the State of California, without regard to conflict of law rules. Disputes will be resolved in the state or federal courts located in California, and both sides consent to that venue.

We may update these terms from time to time. We will post the new version here and update the effective date above; material changes will be communicated to active clients. Continued use of the services after changes take effect means you accept the updated terms.
